Banco Popular Completes Sale of Construction and Commercial Real

Popular, Inc. (Nasdaq: BPOP) announced today that Banco Popular de Puerto Rico, its principal banking subsidiary, completed the sale of a portfolio of construction and commercial real estate loans with an unpaid principal balance and net book value of approximately $358 million and approximately $148 million, respectively. The purchaser is a newly created joint venture (the ?Joint Venture?), which is majority owned by a limited liability company to be created by Goldman Sachs & Co., Caribbean Property Group LLC and East Rock Capital LLC.

?This transaction is an important step; one of several initiatives the Corporation is pursuing to continue to derisk its balance sheet.?

The loans were sold at a price essentially equal to their book value and Banco Popular will not recognize any significant gain or loss on the sale.

The following is a summary of the principal terms of the transaction:

• The purchase price for the transaction is equal to 45.3% of the unpaid principal balance of the loans as of March 31, 2011 (approximately $381 million), adjusted for certain collections and advances made after such date.
• As consideration for the sale of the loans, Banco Popular will receive approximately $48 million in cash, a note for approximately $86 million as seller financing and a 24.9% equity interest in the new Joint Venture.
• Of the $148 million in book value of loans sold, approximately $91 million, or 62%, are construction loans and approximately $57 million, or 38%, are commercial real-estate loans.
• Approximately 97% of the loans sold were classified as non-performing loans.
• Banco Popular will extend a $68.5 million advance facility to the Joint Venture to cover unfunded commitments and other costs to complete the construction projects and a $20 million working capital line of credit to fund certain expenses of the Joint Venture.
• The parties have agreed that no distributions may be made by the Joint Venture to its equity members until all the credit facilities have been paid in full and all commitments to lend terminated. In addition, any distributions by the Joint Venture to its equity members, including Banco Popular, will be made on a pro rata basis according to their proportionate interest in the entity.
• The Joint Venture will engage CPG Island Servicing LLC, an affiliate of Caribbean Property Group, as servicer of the purchased loans. At the same time, the servicer will enter into a subservicing agreement with Archon Group LP, an affiliate of Goldman Sachs, under which it will provide certain subservicing functions with respect to the purchased loans.

Getting on Track is an eight-week weight-loss program that focuses on lifestyle changes needed to help you find a lifelong healthy weight.?

Simply put, we work with you to help decrease the typical frustration, confusion, and deprivation that often occur with most weight loss attempts.?

As part of this program, you will:

• Participate in seven interactive classes taught by a dietitian, an exercise physiologist, and a licensed counselor
• Eat a healthy dinner each class
• Get individual prescriptions for your nutritional needs and exercise intensity needs based off of your specific requirements.

The last session is a group meeting where the skills and knowledge you acquired are applied and discussed.

After completing the program, you may continue to participate in the group support sessions with Staying on Track to further understand your personal journey.

Participants can also exercise in our gym and touch base with our staff on those Thursday nights prior to class (5:15 p.m. to 6:15 p.m.).

Some of the teenage workers who jumped rather than be burned to death.

The Triangle Shirtwaist Fire is the story of an unregulated factory that burned. The doors were locked?from the outside to prevent union organizers from entering. There was no fire exit and the upper floors were accessible by elevators, all of which were rapidly knocked out of service by the fire. A great number of the workers, perhaps most of the them, usually teenage girls, who in this day and age?would normally be attending high school were trapped on the eighth, ninth and tenth floors. Fire engine ladders only reach six floors. Rather than burn to death the young girls jumped to their deaths.

The factory owners suffered no legal penalties for locking the doors from the outside or in fact any legal penalties as all. They had broken no law. They paid no damages for the dead or injured. The freedom to contract meant that if the dead had wanted protection they should have negotiated for it. After all the bargaining power?of a large industrial organization is roughly equal to the bargaining power of a fourteen year old girl. Doesn?t the old fashioned?days of self reliance?dictate that these impovershed immigrants denied even bathrooms or breaks should have bought insurance if they worried about the lives?

The owners of the ill fated building?opened a new factory with the same name up the block in a few weeks. Building inspectors found the doors blocked by stored sewing machines.

The great gentlemen on whose kindness and benevolence, the public depended for worker safety and fair treatment were little better than socially acceptable murderers.

We are told by many publication, including not just a few academics ( Do I need to mention the Chicago School of Economics?) that businesses freed of regulations will self regulate. It is in their best interest,we are told, not to bring unfavorable publicity and they will, of course, exercise good judgment. It seems to me that this historical incident?as well as recent events such as the Wall Street meltdown and?the gulf oil spill cast some doubt on the efficacy of free market fundamentalism.

But what are facts weighed against the beauty, the elegance of a utopian theory of human success?

When I began teaching, I would on occasion encounter?a free market fundamentalist in the class. I made sure they had a opportunity?to express their views ? up to five minutes to address?the class and any literature they wished to present copied and distributed to the class out of my allocation of copies. But in the last few years, they are no more of them. They have disappeared. My current students stand convinced that they are pawns in a badly played game. Many hold on to the idea that through their personal efforts that they will beat the odds of a cruel society where employment for many of them will be difficult because of the sheer numbers of those without jobs. I try to teach them every angle to give them a shot at success. I give negotiating tricks, explain unusual aspects of the law that can be used to a person?s advantage, and explain that lifelong personal development is critical to living a full and significant life. I try to build better human beings. It is a great challenge, not quite as easy as the canned lectures that come with the book and each chapter?s test bank. But that?s okay.

Teaching is an art that calls forth every ability, every insights, every experience to develop thinking significant human beings.

Police: Trucker distracted before Amtrak crash

NORTH BERWICK, Maine?? A New Hampshire trucker hauling a load of trash was distracted and speeding before his tractor-trailer skidded more than 200 feet into the path of an Amtrak train, causing a fiery collision that killed him and injured several others in July, investigators concluded.

Peter Barnum, 35, of Farmington, N.H., took a five-minute phone call from his employer just before the collision and his truck was traveling 20 mph faster than the posted speed limit when he hit the brakes, according to a report by the North Berwick Police Department. A motorist following Barnum reported that the truck had been weaving on the road.

Barnum was distracted, possibly by his cellphone, and "didn't see the crossing until it was too late," Police Chief Stephen Peasley said Monday.

Investigators cannot say with absolute certainty whether Barnum was on the phone at the moment of impact on July 11. A conversation between Barnum and his boss ended at about the same time as the accident, though the boss insisted that the call ended before the collision, Peasley said.

The Amtrak Downeaster train, which operates between Portland and Boston, was traveling at about 70 mph with 112 passengers aboard when it collided with Barnum's tractor-trailer.

Witnesses said the impact, which separated the burning locomotive from the other cars, sent flames three stories high, followed by a hail of trash scattered from the trailer. Barnum's body landed 350 feet away in a grassy ditch, according to the report. Four passengers and two Amtrak crew members were injured, none seriously.

Investigators examined Barnum's cellphone records, GPS and other electronic equipment.

The complete report, made available to the public for the first time on Monday, indicates his truck had passed inspections and passed through a weigh station in Eliot just minutes before the crash. It also said the train operator blew a whistle and that the flashing lights and the gates were operating properly.

A driver who was following the truck, Greg Daigneault of North Berwick, told investigators that Barnum was driving erratically and didn't slow down when the speed limit dropped.

"It appeared to me that the truck driver was distracted or tired," Daigneault told police. "He crossed the center line at least twice and steered into the breakdown lane at least twice, also."

GPS data from the truck indicated Barnum had been sticking close to the speed limit, but he didn't slow down when the limit dropped from 55 mph to 40 mph and then 30 mph, Peasley said.

The state police reconstruction report is not complete, but Peasley said state police told him the report will indicate the truck was traveling at about 50 mph, or 20 mph above the limit at the crossing.

The collision happened during Barnum's second job of the day for Triumvirate Environmental Inc. of Somerville, Mass., according to the report. After reporting to work at 6 a.m., Barnum dropped off a container at Portsmouth Naval Shipyard in Kittery. He then picked up a load of trash in Kittery to take it to the Maine Energy Recovery Co. incinerator in Biddeford, the report said.

Cellphone records indicate there were 14 incoming and outgoing calls between 7:37 a.m. and the time of the crash. The report indicates the last call came from his employer at 11 a.m. and ended at 11:05 a.m., the same time police received the first 911 calls, the report said.

Stephen Foye of Triumvirate Environmental told police he couldn't remember what the two discussed in that last call but said it ended before the crash, according to the report.

Officials from Triumvirate Environmental did not immediately return a call seeking comment from The Associated Press.

US says Reebok toning shoes don't really

Customers who bought?shoes that Reebok ads said would tone legs and buttocks could be getting a refund.

The Federal Trade Commission said Wednesday?the?athletic shoe giant?would?dole out $25 million to consumers?as part of an agreement to settle charges that it deceived consumers in ads for EasyTone and RunTone shoes which claimed people would get more shapely thighs and glutes by wearing the shoes.

?The FTC wants national advertisers to understand that they must exercise some responsibility and ensure that their claims for fitness gear are supported by sound science,? said David Vladeck, Director of the FTC?s Bureau of Consumer Protection in a statement on the FTC's website.?

While Reebok?agreed to the settlement, the company is standing behind its line of shoes.

"Settling does not mean we agree with the FTC?s allegations; we do not," Reebok spokesman Daniel Sarro told msnbc.com?in an e-mail. "We have received overwhelmingly enthusiastic feedback from thousands of EasyTone customers, and we remain committed to the further development of our EasyTone line of products."

ConsumerMan: Toning shoes are a hot fad, but it's all a bunch of hype

The FTC said consumers will get the refunds either directly from the FTC or through a court-approved, class action lawsuit.

The FTC?s complaint focused on very specific claims made by Reebok in ads that wearing its EasyTone footwear was proven to lead to "28 percent more strength and tone in the buttock muscles, 11 percent more strength and tone in the hamstring muscles, and 11 percent more strength and tone in the calf muscles than regular walking shoes.?

The Federal Trade Commission announced today that Reebok is settling false claims charges related to sneakers that are supposed to help tone your legs and backside while you walk. Reebok still insists its claims are true. NBC's Tom Costello reports.

These claims "didn't withstand scrutiny," Vladeck said. "The evidence was wholly insufficient."

Many advertisements contain general claims of health benefits, such as "it's the best workout you'll ever get."? Such bragging, legally termed "puffery," generally stays on the right side of false advertising laws. Reebok ran into trouble because its claims were so specific, and its evidence for those claims insufficient.

The FTC settlement bars Reebok from making claims about specific increase in muscle tone, or any other health claims, without having "competent and reliable scientific evidence."

FTC officials would not discuss advertising claims made by other manufactures of toning shoes, which are made by Sketcher, New Balance, and other shoe makers.?

Consumers who wish to apply for a refund should visit http://reeboksettlement.com/FTC?and fill out an online application.? Those who purchased Reebok EasyTone apparel are also eligible.? Vladeck said the amount of refunds will be determined by a federal judge who will oversee the process.

Reebok has discontinued the advertising campaign with the allegedly misleading claims, and has told retailers to remove any store displays that contain the claims.

This 2010 feature, which makes its PBS debut tonight on the documentary series "P.O.V.," is about a Chinese family joining 130 million migrant workers as they journey from the city to their home in the country to reunite with their families at New Year's. Directed by Lixin Fan, "Last Train Home" is not a travelogue, a polemic or a history lesson, but simply a story of people, told with elegance and care. It's also a rare recent documentary that avoids every modern nonfiction clich?. It features no narration by moonlighting movie stars, no bouncy hand-held camerawork, no fast cutting, no clever graphics, no reenactments, no archival photos, no razzle-dazzle montages with ironic pop songs or Philip Glass music, no horrifying family revelations, and no competitions ending with a teary-eyed champion hoisting a trophy. All it does is point a camera and capture life as it happens.

The main characters are an extended family from China's Sichuan province -- country people who spend most of the year in the industrial city of Guangzhou. They work endless hours in garment sweatshops for pitiful wages, yet still manage to save their money and send most of it back home. The film focuses on a married couple, Zhang Changhua and Chen Suqin. They let their eldest daughter, 17-year-old Zhang Qin, postpone college and join them in the city to supplement the family's meager income. Their decision creates as many problems as it solves.

The family's story unfolds in an elegantly arranged series of images, moments and scenes, starting with the parents' journey back home and continuing through an account of their yearly stay in Guangzhou, their daughter's blossoming into a lovely and stubborn young city woman, and their long trip home for the holidays. The journey back to Sichuan province gives the film its title. This is no casual commuter jaunt; it's the single largest regular migration on the planet, moving 130 million people across a vast stretch of mountainous terrain.

When the family arrives at the Guangzhou train station, they find untold thousands jammed shoulder-to-shoulder, waiting for a train that seems as though it may never arrive. For all the nation's pride in efficiency, this scene suggests a near collapse of government competence. No one seems to know when the train is coming or why it has been delayed. Some travelers have been standing there for a week. The public square near the train station is too small. The travelers' tempers shorten as the days stretch out, and their stomachs ache from lack of food and water. The police do what they can to keep order, but they're outnumbered, and they soon become targets for depressed and furious travelers. "Today you work behind the fence!" a man yells at a cop who won't let him past a barricade to locate the daughters he lost on the other side. "But tomorrow you'll be standing here, in my shoes!"

The director, who doubled as cinematographer, surveys this madhouse and captures many harrowing moments, including a surge that almost becomes a mass trampling. When the train finally arrives, our family squeezes into it, three more sardines packed in a huge rectangular tin. But they don't dwell on their discomfort because it's better than the nightmare they left behind -- and because now, at least, they're going somewhere.

This magnificent section is the highlight of "Last Train Home," but the story before and after it is just as gripping, if much quieter. Fan, a Chinese-Canadian filmmaker, embodies the fly-on-the-wall aesthetic of mid-20th century documentaries: the Maysles brothers ("Grey Gardens"), D.A. Pennebaker ("Don't Look Back"), Frederick Wiseman ("Titicut Follies"). He doesn't blatantly editorialize with his shots or cuts, he just turns you into an invisible, extra family member, a silent observer. His camera follows along behind or beside the family as they work in factories, wait for the train, ride home, eat dinner with their relatives, discuss their money problems and argue about their family's past and future. The changing face of modern China is expressed not with charts, graphs and narration, but in silent, often stunningly composed images: long shots of verdant countryside that contrast against the hard-edged cityscapes; images of cars crawling along gridlocked streets and transformer towers cutting the sky into geometric mosaics; stacks of newly-stiched bluejeans piled on factory floors.

The film's heart is the relationship between the parents and their daughter, and the difficult, sometimes heartbreaking contradictions of family life. Zhang and Suqin went to the city for the good of the family, to make enough money to raise their standard of living and improve their childrens' prospects. But this same decision estranged them from their kids -- particularly Qin, who was raised by her grandparents. One of the film's most lovely and powerful moments finds Qin out in the woods lit by a small fire, talking to her late grandfather's spirit. She considers him her true father, and her grandmother her true mother. She loves but resents her own parents. "All they care about is money," she says, with the bitterness of a bright young woman who has no idea how impossible it is to be a parent. Her grandmother has lived long enough to put such conundrums in perspective. Sitting at a dinner table with her loved ones, she chastises her grandson for not eating the bitter melon she's laid out for him. "Taste the bitterness first," she tells him. "The sweetness will follow."

Tea party darling Sen. Marco Rubio writing memoir

NEW YORK (AP) ? U.S. Sen. Marco Rubio, a Florida Republican and tea party favorite seen as a rising political star, said Monday that he will be writing a memoir.

Rubio will be represented by Washington attorney Robert Barnett, whose clients include President Barack Obama and former President George W. Bush. A proposal has just begun circulating among publishers, and meetings are expected to be held over the next few weeks. Barnett said a portion of the author's net proceeds would be donated to Florida charities.

Rubio, the 40-year-old son of Cuban exiles, was virtually unknown outside of his own state a year ago, but now is widely regarded ? despite his repeated denials ? as a possible contender for vice president in 2012. Party officials cite his youth, conservative views and potential appeal to Latinos. Books are a virtual requirement for politicians seeking a national profile, but Rubio said in a telephone interview Monday with The Associated Press that his memoir is not a platform for higher office.

"It isn't about creating a profile," he said. "It's more about communicating."

Rubio, among a wave of tea party-backed candidates voted in last year, said he had several reasons for undertaking a book. He wants to share the story of his background, recount the 2010 election and his improbable victory in a three-way race in which he began as an underdog whose approval ratings were "below the margin of error," and articulate his positions on a range of policies and on his vision for the future. He said he hopes the memoir is not only read by Republicans, but that it will also inspire supporters of both parties to "enter public life."

Rubio said he hasn't started the book, and although he would love to write it himself, he will likely need a collaborator. The book doesn't yet have a title.

"Part of the problem is the time constraint; I have a day job," he said. "It's also my first foray into this level of writing."

Rubio said there was no one political author he was hoping to emulate. He expressed admiration for the work of a political foe: Obama, author of the memoir "Dreams from My Father" and "The Audacity of Hope," a policy book published when Obama was a first-term senator.

"I don't agree with him on a lot of public policy, but I thought (Obama's books) were very well written and interesting," Rubio said.

New rumors: Analyst says only one iPhone this fall; iPhone announcement heads to Cupertino (Appolicious)

The closer we get to the announcement of the next iPhone, the more rumors go swirling around.

During the past weekend, two new rumors showed up: The first coming from an analyst that claims there will be only one iPhone this fall, rather than two; the second, that Apple plans to break tradition and have its iPhone announcement event in its home town of Cupertino.

The first rumor comes by way of Apple Insider, which discusses a note to investors from analyst Wedge Partners analyst Brian Blair. According to Blair, Apple will only be bringing one iPhone to market this fall, rather than the two that rumors have been saying we?ll be seeing. Blair says the new iPhone will include the A5 chip Apple first released inside the iPad 2, as well as an 8-megapixel rear-facing camera. That?s information we?ve heard before from multiple sources.

What Blair isn?t expecting is two models of the iPhone ? an iPhone 4S and an iPhone 5, one being an incremental update to the current iPhone and the other being a new, redesigned model. Rumors that there would be two iPhones have been going in various degree for some time, the latest coming from an apparent verbal slip from Apple board member and former U.S. vice president Al Gore.

Blair also mentioned that it expects Apple to drop the current iPhone 4 to $99 and doesn?t really need a second new model iPhone. It also sounds like he and Wedge Partners expect only the iPhone 5, without the iPhone 4S, which rumor has stated could be a carrier-free prepaid version.

Unfortunately, most of these rumors just tend to further confuse things, and it seems we?ll just have to wait and see what Apple is planning in the next few weeks.

Speaking of Apple?s plans, a new report from AllThingsD suggests that the announcement releasing whatever new iPhones are on their way won?t be happening in San Francisco, as per tradition, but in Apple?s hometown of Cupertino, California.

This report follows one from AllThingsD that stated Apple would be giving its iPhone announcement on Oct. 4, according to anonymous sources. These things usually occur in San Francisco. That?s where Apple had its iPad 2 announcement last spring, and where its Worldwide Developers Conference takes place, which is where iPhones have traditionally been announced.

These things generally take place at the Yerba Buena Center in downtown San Francisco. While it?s possible that that venue was just booked and Apple had to find an alternative, another way to read the situation is that with Apple?s new CEO, Tim Cook, making his first big announcement as head of the company, Apple intends to make an even bigger deal of the iPhone launch. That would certainly make sense given the gravity of the situation and seeing as this is a big changing of the guard, at least symbolically, with former CEO Steve Jobs having stepped down. Apple may be hoping that a big announcement close to home will help investors see that Cook is able to pick things up where Jobs put them down.

BP files first Gulf drill plan since Macondo (Reuters)

HOUSTON (Reuters) ? BP confirmed on Friday it has filed a plan with U.S. regulators to pursue its first new deepwater oil exploration work in the Gulf of Mexico since the disastrous Macondo spill in 2010.

The plan, filed with the Bureau of Ocean Energy Management, Regulation and Enforcement, is BP's first move to return to deepwater Gulf exploration since its Macondo well ruptured on April 20, 2010, and caused nearly 5 million barrels of oil to spew into the sea in what was the worst U.S. marine oil spill.

The supplemental exploration plan will be a key litmus test for how U.S. regulators treat BP, the biggest Gulf oil producer, in the post-Macondo world.

In a key investigative report issued on September 14, the U.S. government heaped the lion's share of blame for the disaster on BP, which faces a raft of criminal and civil litigation and billions of dollars in potential damages.

BP's filing calls for further appraisal drilling at the 2006 Kaskida discovery in the Keathley Canyon area. An early appraisal well in 2009 confirmed oil in the highly touted Lower Tertiary play in the Gulf.

"We have filed a supplemental exploration plan," a BP spokesman confirmed. "Obviously, we had an exploration plan and we've added to it."

The offshore Gulf is key to the future of BP and U.S. domestic oil supply. BP produces about a quarter of the oil and natural gas output from the region that generates about a third of total U.S. domestic production.

After calling a full-stop on new offshore drilling after the spill, U.S. regulators have approved new drilling plans for many other companies, including Royal Dutch Shell and Chevron, but not for BP.

"I think it will be interesting to see whether BP is treated any differently. The word is they won't, but we'll see," said Phil Weiss of Argus Research in New York.

"It's significant in that, assuming it's approved, it gives BP the ability to get back to work on a project they're in charge of," Weiss said.

BOEM confirmed BP's application is its first since Macondo and said BP will receive standard treatment.

"All operators are held to the same enhanced safety and environmental standards put in place following the Deepwater Horizon explosion and oil spill," a BOEM spokeswoman said.

BP said it could not predict when drilling would begin until the application is approved. But the application specifies a target date of November 1 for the first of four wells to be drilled through 2013. BP estimates each will take 205 days to drill.

"We know there's a period of time BOEM ascribes to this process, but the exact timing of activity depends on the approval of the regulator," the BP spokesman said.

The proposed new drilling is 290 miles southwest of the Macondo well site. It is in 5,800 feet of water, about 800 feet deeper than Macondo.

Polish central bank intervenes to support currency (AP)

WARSAW, Poland ? Poland's central bank on Friday intervened to support the country's currency, the zloty, pushing it up against the euro and dollar after weeks of depreciation caused by fears of economic turmoil in Europe.

The National Bank of Poland said it used "a certain amount of foreign currency for zlotys."

It did not give the size of the exchange and provided no other details. But the move had the immediate effect of bolstering the zloty, which has weakened significantly in past weeks as fears of economic turmoil in Europe have prompted foreign investors to flee such emerging economies as Poland's.

Poland is the only European country that avoided recession in 2009, and its economy is expected to grow by 4 percent this year. Some economists say the dramatic weakening of its currency is a reflection of investors' fears more than any significant change in Poland's economic fundamentals.

After the central bank's move, the zloty strengthened to 4.42 to the euro compared to 4.51 earlier in the day. It also rose to 3.27 to the dollar compared to 3.36 just before the intervention.
